Terms and Conditions

1. Agreement to Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you and AMF VENTURES VACATION HOMES RENTAL CO. L.L.C ("HostWhisper," "we," "us," or "our"), a limited liability company registered in Dubai, United Arab Emirates.

By accessing or using HostWhisper, you agree to be bound by these Terms. If you do not agree, do not use our service.

2. Description of Service

HostWhisper provides WhatsApp automation software for Airbnb hosts that integrates with Hostaway property management systems. Our service enables automated guest communication via WhatsApp.

3. Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts. By using HostWhisper, you represent that you meet these requirements.

4. Account Registration

4.1 Account Creation

  • You must provide accurate and complete information
  • You are responsible for maintaining account security
  • You must not share account credentials
  • You must notify us immediately of any unauthorized access

4.2 Account Termination

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent or abusive behavior.

5. Subscription and Payment

5.1 Subscription Plans

  • Pricing is displayed on our website and may change with notice
  • Subscriptions renew automatically unless cancelled
  • All fees are non-refundable except as required by law

5.2 Payment Terms

  • Payment is due at the beginning of each billing cycle
  • You authorize us to charge your payment method automatically
  • Failed payments may result in service suspension

5.3 Plan Changes

  • You may upgrade or downgrade your plan at any time
  • Changes take effect at the next billing cycle
  • Downgrades may result in loss of features or data

6. Acceptable Use

6.1 Permitted Use

You may use HostWhisper solely for:

  • Legitimate guest communication related to your vacation rental business
  • Automated messages to guests who have booked your properties
  • Team collaboration for property management

6.2 Prohibited Use

You may not:

  • Send spam, unsolicited commercial messages, or illegal content
  • Violate WhatsApp's Terms of Service or policies
  • Use the service to harass, abuse, or harm others
  • Attempt to reverse engineer or compromise the platform
  • Resell or redistribute the service without authorization
  • Use the service for any illegal purposes
  • Impersonate others or provide false information
  • Interfere with or disrupt the service

6.3 Compliance

You are responsible for:

  • Complying with all applicable laws and regulations
  • Obtaining necessary consents from guests for messaging
  • Complying with data protection and privacy laws
  • Following WhatsApp Business policies and guidelines

7. Third-Party Integrations

7.1 Hostaway Integration

  • You must have an active Hostaway account
  • You grant us permission to access your Hostaway data
  • We are not responsible for Hostaway's service or availability

7.2 WhatsApp

  • WhatsApp messaging is provided through third-party APIs and services that we integrate with, which are not operated or controlled by us.
  • Message delivery is subject to WhatsApp's policies and availability
  • You are solely responsible for ensuring your use of the service complies with WhatsApp's Terms of Service and Business Policies.
  • Automated or bulk messaging carries inherent risks. You acknowledge that misuse or excessive activity may result in temporary or permanent account restrictions.
  • We do not guarantee message delivery and are not responsible for any WhatsApp service disruptions, flagging, or account bans.

7.3 Third-Party Terms

Your use of integrated services is subject to their respective terms and conditions.

8. Intellectual Property

8.1 Our Rights

HostWhisper, including all software, designs, logos, and content, is owned by AMF VENTURES VACATION HOMES RENTAL CO. L.L.C and protected by intellectual property laws.

8.2 Your Rights

You retain ownership of:

  • Your message templates and automation workflows
  • Your guest data and booking information
  • Content you create within the platform

8.3 License Grant

We grant you a limited, non-exclusive, non-transferable license to use HostWhisper during your subscription period.

9. Data and Privacy

Your use of HostWhisper is subject to our Privacy Policy. You acknowledge that:

  • We will process guest data on your behalf
  • You are responsible for obtaining necessary consents
  • You must comply with applicable data protection laws
  • We implement security measures but cannot guarantee absolute security

10. Service Availability

10.1 Uptime

We strive to maintain high availability but do not guarantee uninterrupted service. We are not liable for service disruptions caused by:

  • Scheduled maintenance
  • Third-party service failures (Hostaway, WhatsApp, or other integrated services)
  • Force majeure events
  • Your internet connectivity issues

10.2 Modifications

We reserve the right to:

  • Modify or discontinue features with notice
  • Update the platform for improvements or security
  • Change pricing with 30 days' notice for existing customers

11. Limitation of Liability

11.1 Disclaimer of Warranties

HostWhisper is provided "as is" without warranties of any kind, express or implied. We do not warrant that:

  • The service will be uninterrupted or error-free
  • Messages will be delivered successfully
  • The service will meet your specific requirements

11.2 Liability Limits

To the maximum extent permitted by law:

  • Our total liability is limited to the amount you paid in the 12 months preceding the claim
  • We are not liable for indirect, incidental, consequential, or punitive damages
  • We are not liable for loss of profits, data, or business opportunities
  • We are not liable for any restrictions, suspensions, or bans imposed by WhatsApp or other third-party services as a result of your use of automated messaging features.

11.3 Indemnification

You agree to indemnify and hold harmless AMF VENTURES VACATION HOMES RENTAL CO. L.L.C from any claims, damages, or expenses arising from:

  • Your violation of these Terms
  • Your violation of applicable laws or regulations
  • Your use of the service
  • Content you send through the platform

12. Beta Features

We may offer beta or experimental features. These are provided "as is" with no warranties and may be modified or discontinued at any time without notice.

13. Termination

13.1 By You

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period.

13.2 By Us

We may terminate your account immediately if you:

  • Violate these Terms
  • Engage in fraudulent or illegal activity
  • Fail to pay subscription fees

13.3 Effect of Termination

Upon termination:

  • Your access to the service will cease
  • Your data will be deleted within 90 days
  • No refunds will be provided for prepaid periods

14. Dispute Resolution

14.1 Governing Law

These Terms are governed by the laws of the United Arab Emirates and the Emirate of Dubai.

14.2 Arbitration

Any disputes shall be resolved through binding arbitration in Dubai in accordance with the Dubai International Arbitration Centre (DIAC) rules, unless otherwise required by applicable law.

14.3 Class Action Waiver

You agree to resolve disputes individually and waive any right to participate in class actions.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and HostWhisper.

15.2 Severability

If any provision is found unenforceable, the remaining provisions remain in full effect.

15.3 No Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right.

15.4 Assignment

You may not assign these Terms without our consent. We may assign these Terms to any successor entity.

15.5 Force Majeure

We are not liable for delays or failures caused by circumstances beyond our reasonable control.

16. Changes to Terms

We may update these Terms from time to time. Material changes will be notified via email or platform notification at least 30 days before taking effect. Continued use after changes constitutes acceptance.
